Terms &
Conditions
Last updated: 26 September 2026
These terms cover the work we do for you and the way this website may be used. They are written to be read, not to be survived — if anything here is unclear, ask us before you sign a quotation.
1. Who we are
Nandi Solution Pvt. Ltd. ("Nandi", "we", "us") is a digital agency based in Gyaneshwor, Kathmandu, Nepal, offering software development and digital marketing services.
You can reach us at info@nandisolutions.com or +977 9768581342.
2. Using this website
You may browse this site, and share or quote from it with attribution. You may not copy our designs, code, written content or client material for commercial use without our written permission.
Client names, logos and campaign work shown here belong to those clients and appear with their permission. Figures quoted in case studies describe past work and are not a promise of the same result for you.
We try to keep the site accurate and available, but we do not guarantee it is free of errors or always online.
3. Quotations and scope
Every engagement starts with a written quotation that sets out the deliverables, timeline and price. The quotation is the agreement; packages shown on this site are indicative starting points.
Work outside the agreed scope is quoted separately before it starts. We will not begin extra work and invoice you for it afterwards.
Quotations are valid for 30 days unless stated otherwise.
4. Payment
All prices are exclusive of VAT at the prevailing Nepali rate. TDS is deducted at source where it applies.
Retainer services are invoiced monthly in advance. Project work is invoiced against the milestones named in the quotation.
Invoices are due within 15 days [CONFIRM]. Where an invoice remains unpaid past its due date we may pause work and any ad spend we manage on your behalf, after telling you first.
Advertising budgets, boosted posts, paid tools, stock media, domains and hosting are billed separately from our fees and at cost, unless your quotation says otherwise.
5. Commitment period and cancellation
Marketing retainers run for a minimum of six months, as stated in our service notes. After that they continue monthly until either side gives 30 days' written notice.
You can cancel during the minimum period, but the remaining months of that period are payable [CONFIRM].
If we cancel, we refund any fees paid for work not yet delivered.
6. What we need from you
Timely feedback, approvals and access — to accounts, brand assets, content and the people who make decisions. Most delays come from waiting on approvals rather than from the work itself.
Accurate material. You confirm you own, or have the right to use, everything you give us: logos, photographs, text, product claims and customer data.
A single point of contact who can approve work on your behalf.
7. Revisions and approvals
Each deliverable includes two rounds of revision [CONFIRM] within the agreed scope. Further rounds, or changes after you have approved something, are quoted separately.
Work is treated as approved once you confirm it in writing, or once it goes live with your agreement.
8. Ownership of the work
Once we have been paid in full, the final deliverables we create for you are yours: designs, written content, campaign creative and the source code written specifically for your project.
We keep ownership of the tools, components, libraries and internal methods we reuse across clients, and we license them to you for use in your project.
Third-party parts — fonts, stock photography, plugins, hosting, ad platforms — stay with their owners and are governed by their own licences, which you are responsible for maintaining after handover.
Unless you ask us not to, we may show the work in our portfolio and case studies.
9. Third-party platforms
Campaigns depend on platforms we do not control — Meta, Google, TikTok, hosting providers and payment gateways among them. Their rules, pricing, approval decisions and outages are theirs, not ours.
We will advise you on platform policy, but we cannot guarantee an account, an ad, a page or a listing will be approved or stay approved.
10. Results
We commit to the work described in your quotation and to reporting honestly on it. We do not guarantee a specific ranking, reach, engagement, conversion rate or revenue figure, because none of those are ours alone to control.
Where we share projections, they are estimates based on past work and stated as such.
11. Confidentiality
We keep your commercial information, strategy and data confidential, and expect the same of our material shared with you. This continues after the engagement ends.
We share information only with the team members and subcontractors who need it, under the same obligation, and where the law requires disclosure.
12. Data protection
Where we handle personal data on your behalf — customer lists, enquiry forms, advertising audiences — we process it only to do the work you have asked for.
You remain responsible for having a lawful basis to collect and share that data with us, and for your own privacy notice.
13. Liability
We work carefully, but no agency can promise perfection. Our total liability for any claim arising from an engagement is limited to the fees you paid us for the work in question over the preceding three months [CONFIRM].
We are not liable for indirect or consequential loss, including lost profit, lost data or business interruption.
Nothing here limits liability that cannot be limited by Nepali law.
14. Changes to these terms
We may update these terms as our services change. The version in force for your project is the one in effect when you accept the quotation, unless we agree otherwise in writing.
The date at the top of this page shows the current version.
15. Governing law
These terms are governed by the laws of Nepal, and the courts of Kathmandu have jurisdiction over any dispute.
Before going to court, both sides agree to try to resolve the matter in a conversation first.
Questions about these terms?
Ask before you sign, not after. We will explain any clause in plain language.
